Its registered office is at #2250, 1st Floor 15th Cross 1st Sector HSR, Bengaluru 560102 (“Studio Inspatial”). Studio Inspatial offers interior services via its website (referred to as “Website” or “Site”), www.studioinspatial.com, mobile application (“App”), and other electronic devices. Studio Inspatial is dedicated to safeguarding your data and information while delivering outstanding service to all customers and users of the Website & App. This Privacy Policy (“Policy”) has been prepared to inform you of the privacy principles that govern your use of and access to this Website and App.

By engaging our services, you agree to be bound by this Agreement

1. Services Provided

We provide interior design services, including but not limited to consultation, space planning, 3D renderings, sourcing and procurement of materials/furnishings, project management, and styling. The exact scope will be detailed in a written proposal or contract specific to your project.

2. Client Obligations

  • The Client shall provide access to the property as required for consultations, assessments, installations, and inspections.
  • The Client agrees to provide accurate and complete information regarding preferences, budget, timelines, and other details necessary for project execution.
  • The Client agrees to review and approve designs and selections in a timely manner to avoid project delays.

3. Fees and Payment

  • A detailed fee structure will be provided in the project proposal. Fees may include fixed project fees, hourly rates, and/or cost-plus pricing on furnishings and materials.
  • A deposit of [X%] is required to initiate work. The balance will be payable as per agreed milestones.
  • Late payments may incur a [X%] monthly interest or flat late fee.
  • All materials and goods remain the property of the Company until full payment is received.

4. Changes and Cancellations

  • Any changes to the scope of work must be requested in writing and may be subject to additional charges.
  • In the event of cancellation by the Client, the Company reserves the right to retain payments for work completed and/or recover costs incurred.

5. Procurement and Third Parties

  • The Company may assist in sourcing and purchasing items on behalf of the Client. These will be billed at cost plus a service fee, as detailed in the proposal.
  • The Company is not liable for delays, defects, or failures by third-party vendors, suppliers, or contractors.

6. Project Timeline

  • We will provide an estimated timeline for project completion. However, timelines are subject to change based on client responsiveness, third-party delays, and other unforeseen circumstances.

7. Design Ownership and Intellectual Property

  • All original designs, drawings, layouts, plans, and presentations created by the Company remain the intellectual property of the Company.
  • The Client is granted a limited, non-transferable license to use the designs solely for the intended property/project.
  • The Client agrees not to reproduce, resell, or distribute any design materials without written consent.

8. Photography and Promotion

  • The Company reserves the right to photograph completed projects and use such images for marketing, portfolio, social media, or publication purposes unless otherwise agreed in writing.
  • The Client may request exclusion from photography in writing before the project concludes.

9. Warranties and Liability

  • The Company provides its services using reasonable skill and care, in accordance with industry standards.
  • We are not liable for any damage, loss, or injury arising from the use of furnishings, materials, or third-party installations.
  • The Client agrees to inspect all goods upon delivery and installation and notify us of any defects within 7 days.

10. Confidentiality

  • Both parties agree to keep confidential any sensitive information, including designs, pricing, and personal data, unless disclosure is required by law or mutually agreed upon in writing.

11. Termination

  • Either party may terminate this agreement with written notice if the other party breaches any material term and fails to cure such breach within 14 days of receiving notice.
  • Upon termination, all unpaid fees for services rendered and costs incurred will become immediately due.

12. Governing Law & Jurisdiction

All disputes, controversies, or claims that are directly or indirectly caused by, arising from, or related to this Policy will be governed by Indian law and will be exclusively referred to confidential, mandatory, and binding courts located in Bengaluru, India. With the above being said, you consent to submit to the exclusive jurisdiction of the Courts located in Bengaluru, India.

13. Miscellaneous

  • This Agreement constitutes the entire agreement between the parties and supersedes all prior negotiations or understandings.
  • Any amendments must be in writing and signed by both parties.
  • If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
